The standard DYNAQE consultancy and trade facilitation fee is ₹30,000 (Rupees Thirty Thousand Only) per successfully concluded deal.

This fee covers the agreed consultancy, buyer acquisition, communication, coordination and trade facilitation activities for that deal.

Applicable GST and other statutory taxes, if any, will be charged separately against a valid tax invoice.

The service fee does not include government charges, third-party fees, logistics expenses or other external transaction costs.

03

Definition of a Deal

For these terms, a deal means a commercial transaction between the Client/Supplier and a buyer introduced, identified, developed or materially facilitated by DYNAQE.

A deal is considered successfully concluded when the buyer and supplier confirm a commercial transaction through a purchase order, signed sales contract, accepted proforma invoice or equivalent written order confirmation.

Each independently confirmed buyer order or transaction constitutes a separate deal unless otherwise agreed in writing.

04

Payment Terms

  • The ₹30,000 service fee is payable for each successfully concluded deal.
  • The Client must pay the agreed service fee within three working days of commercial deal confirmation.
  • DYNAQE may request an initial engagement deposit or advance if agreed in the written proposal.
  • Any advance paid will be adjusted against the applicable service fee.
  • Additional work outside the agreed scope may attract separate charges with prior written approval.
  • Delayed service-fee payments may result in suspension of further consultancy and coordination activities.

  • Foreign exchange fluctuations or bank transfer failures.
  • Commercial losses arising from the buyer-supplier relationship.

Nothing in these terms excludes liability that cannot legally be excluded under applicable law.

11

Cancellation, Withdrawal & Abandoned Transactions

If either the buyer or supplier withdraws, cancels or abandons the transaction during the engagement:

  • DYNAQE will notify the Client and provide an update on the work completed.
  • DYNAQE is not responsible for either party's decision to withdraw.
  • Any completed and unpaid consultancy work, agreed advances and non-cancellable expenses remain payable according to the engagement agreement.
  • If the deal has already reached the successful-conclusion stage defined in Clause 03, the full ₹30,000 deal fee remains payable.
  • If the deal has not reached that stage, the parties will settle any separately agreed milestone fees or completed-work charges.

DYNAQE may discontinue its services if the Client, buyer or supplier provides false information, requests unlawful activities or fails to meet agreed obligations.
